Agreement to Terms

By accessing and using PACT Protocol services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. These terms constitute a legally binding agreement between you (the "User" or "Customer") and PACT Protocol ("Company," "we," "us," or "our").

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms, in which case "you" or "your" shall refer to such entity.

Service Description

PACT Protocol provides enterprise-grade blockchain infrastructure, including but not limited to:

  • Genesis Hub - AI-powered deployment orchestration
  • QR-Verify Portal and CLI - Enterprise QR verification systems
  • PACT Audit - AI-powered smart contract security analysis
  • PACT DeFi - Enterprise DeFi compliance and risk management
  • PACTctl - Compliance-gated token issuance
  • PACT AI Wizard - AI-powered development assistance
  • Private Chain deployment and management

Services are provided on a subscription basis with tiered pricing models designed for enterprise and government customers.

Enterprise Licensing & Usage Rights

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services in accordance with your subscription plan.

Usage Limitations

  • Services may only be used for lawful business purposes
  • Usage is subject to the limits specified in your subscription tier
  • Reselling or redistributing services without written permission is prohibited
  • Reverse engineering, decompiling, or disassembling our software is forbidden

Government Compliance

Enterprise and government customers must ensure their use of PACT Protocol services complies with all applicable laws, regulations, and compliance frameworks including FISMA, SOC2, and HIPAA where applicable.

User Responsibilities

Account Security

  • Maintain the confidentiality of your account credentials
  • Implement appropriate security measures for your organization
  • Promptly notify us of any unauthorized access or security breaches
  • Ensure all users within your organization comply with these terms

Data Management

  • You retain ownership of all data you input into our services
  • You are responsible for the accuracy and legality of your data
  • You must have proper authorization to use any data processed through our services
  • Backup and recovery of your data is your responsibility
Payment Terms & Billing

Subscription Fees

Subscription fees are billed in advance on a monthly or annual basis as specified in your service agreement. Enterprise and government customers may have custom billing arrangements.

Payment Processing

  • Payments are processed through secure, PCI-compliant systems
  • Government customers may use purchase orders and ACH transfers
  • All fees are non-refundable except as required by law
  • Late payments may result in service suspension

Price Changes

We reserve the right to modify our pricing with 90 days' written notice to enterprise customers and 30 days' notice to other users.

Intellectual Property Rights

Our Property

All rights, title, and interest in and to the PACT Protocol services, including all software, technology, algorithms, and documentation, are and will remain our exclusive property.

Your Content

You retain all rights to your content and data. By using our services, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing our services.

Feedback

Any feedback, suggestions, or improvements you provide regarding our services may be used by us without any obligation to compensate you.

Service Availability & Support

Service Level Agreement

  • Enterprise Tier: 99.9% uptime SLA with 4-hour response time
  • Government Tier: 99.95% uptime SLA with 1-hour response time
  • Professional services available with dedicated support teams
  • Maintenance windows scheduled with advance notice

Technical Support

Support is provided according to your subscription tier. Government customers receive 24/7 support with security-cleared personnel.

Limitation of Liability & Warranties

Service Warranty

We warrant that our services will perform substantially in accordance with our documentation. Our sole obligation for any breach of this warranty is to use commercially reasonable efforts to correct the non-conformance.

Limitation of Liability

Our total liability for any claims arising out of or related to these terms or our services shall not exceed the amount paid by you for the services during the twelve months preceding the claim.

Exclusions

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the theory of liability.

Termination

Termination by You

You may terminate your subscription at any time with 30 days' written notice. Enterprise customers may have different termination requirements as specified in their service agreements.

Termination by Us

We may terminate or suspend your access immediately for material breach of these terms, non-payment, or violation of applicable laws.

Effect of Termination

Upon termination, your access to services will cease, and we will delete your data according to our data retention policies unless legally required to retain it.

Governing Law & Dispute Resolution

Governing Law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.

Dispute Resolution

Any disputes arising under these terms shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, except that government customers may pursue disputes in federal court.

Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitrations.
