By accessing and using PACT Protocol services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. These terms constitute a legally binding agreement between you (the "User" or "Customer") and PACT Protocol ("Company," "we," "us," or "our").
If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms, in which case "you" or "your" shall refer to such entity.
PACT Protocol provides enterprise-grade blockchain infrastructure, including but not limited to:
Services are provided on a subscription basis with tiered pricing models designed for enterprise and government customers.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services in accordance with your subscription plan.
Enterprise and government customers must ensure their use of PACT Protocol services complies with all applicable laws, regulations, and compliance frameworks including FISMA, SOC2, and HIPAA where applicable.
Subscription fees are billed in advance on a monthly or annual basis as specified in your service agreement. Enterprise and government customers may have custom billing arrangements.
We reserve the right to modify our pricing with 90 days' written notice to enterprise customers and 30 days' notice to other users.
All rights, title, and interest in and to the PACT Protocol services, including all software, technology, algorithms, and documentation, are and will remain our exclusive property.
You retain all rights to your content and data. By using our services, you grant us a limited license to process, store, and transmit your content solely for the purpose of providing our services.
Any feedback, suggestions, or improvements you provide regarding our services may be used by us without any obligation to compensate you.
Support is provided according to your subscription tier. Government customers receive 24/7 support with security-cleared personnel.
We warrant that our services will perform substantially in accordance with our documentation. Our sole obligation for any breach of this warranty is to use commercially reasonable efforts to correct the non-conformance.
Our total liability for any claims arising out of or related to these terms or our services shall not exceed the amount paid by you for the services during the twelve months preceding the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the theory of liability.
You may terminate your subscription at any time with 30 days' written notice. Enterprise customers may have different termination requirements as specified in their service agreements.
We may terminate or suspend your access immediately for material breach of these terms, non-payment, or violation of applicable laws.
Upon termination, your access to services will cease, and we will delete your data according to our data retention policies unless legally required to retain it.
These terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
Any disputes arising under these terms shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, except that government customers may pursue disputes in federal court.
You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitrations.
